1. About These Terms
Content T.O (“we”, “us”, “our”) provides content writing, SEO, and AEO services to businesses in Toronto, the GTA, and beyond.
These Terms & Conditions (“Terms”) apply to your use of our website (contentto.ca) and any services you purchase from us.
By using our website or purchasing our services, you agree to these Terms. If you do not agree, do not use our website or services.
2. Our Services
What We Offer:
- Content creation (blog posts, service pages, landing pages, product descriptions, website copy)
- SEO optimization (keyword research, audits, schema markup, local SEO)
- AEO optimization (llms.txt, FAQ optimization, conversational content)
- Content strategy and consulting
- Monthly retainers and custom packages
What We Don’t Do:
- We do not guarantee #1 rankings on Google (no one can)
- We do not guarantee citations by ChatGPT or other AI engines
- We do not provide web design, hosting, or technical development (unless agreed separately)
- We do not offer refunds on work already delivered (see Section 8)
3. Pricing and Payment
Pricing: All prices are in Canadian dollars (CAD) unless otherwise stated. Prices are subject to change without notice. Existing clients are locked in at their agreed rate for the duration of their project or retainer.
HST/GST: As a small supplier under $35,000 CAD in annual revenue, we do not charge HST or GST. If we exceed this threshold, we will notify clients and add applicable taxes.
Payment Terms:
- Projects under $500: 100% upfront
- Projects over $500: 50% upfront, 50% upon delivery
- Monthly retainers: Billed on the 1st of each month
- Payment methods: PayPal, credit card (via PayPal), e-transfer (Canadian clients)
Late Payments: Invoices unpaid after 14 days may result in paused work. Unpaid after 30 days may result in termination of services and referral to collections.
4. Delivery and Turnaround
Standard Turnaround:
- Quick wins (meta descriptions, headlines, small tasks): 48 hours
- Standard projects (blog posts, service pages): 5-10 business days
- Large packages (50+ items, full website rewrites): 2-4 weeks
Rush Orders: Available for an additional 25% fee. Delivered in half the standard time.
Delivery Format: Content is delivered via Google Docs, Word, or directly to your WordPress site (if access provided). You retain 100% ownership immediately upon final payment.
5. Revisions and Satisfaction Guarantee
Included Revisions: One round of revisions is included per project. Revisions must be requested within 14 days of delivery. Revisions are limited to reasonable changes (tone, structure, small additions). Complete rewrites based on changed requirements are not included and may incur additional fees.
30-Day Satisfaction Guarantee: If you are not satisfied with the quality of our work, we will revise at no extra cost. If you are still not satisfied, we will refund your payment (minus any work already delivered). This guarantee applies to quality issues, not changed preferences or new requirements.
6. Ownership and Intellectual Property
Upon Final Payment: You own 100% of the content we create for you. No licensing fees. No ongoing royalties. You may edit, republish, sell, or delete as you wish.
Before Final Payment: Content remains our property until paid in full.
Our Portfolio: We reserve the right to display completed work in our portfolio unless you request an NDA or confidentiality agreement (additional fees may apply).
7. Cancellations and Refunds
One-Time Projects: No cancellations once work has begun. If you cancel before we start, full refund. If you cancel after work has begun, no refund (you receive any completed work).
Monthly Retainers: Cancel anytime with 7 days written notice. No refunds for the current month. Any work already delivered remains yours.
Refund Exceptions: Refunds are not issued for:
- Change of mind after work has begun
- New requirements that were not in the original scope
- Ranking or performance issues (we control the content, not Google)
- Third-party platform issues (WordPress, PayPal, etc.)
8. Limitation of Liability
To the maximum extent permitted by law, Content T.O shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Our total liability to you shall not exceed the amount you paid us for the specific service giving rise to the claim.
9. No Guarantees
We optimize your content for SEO and AEO best practices. However, we cannot and do not guarantee:
- Specific rankings on Google or other search engines
- Specific traffic numbers or conversion rates
- Citations by ChatGPT, Perplexity, Gemini, or any AI engine
- Sales, leads, or business outcomes
Results depend on competition, domain authority, backlinks, industry, and many factors outside our control.
10. Client Responsibilities
You agree to:
- Provide accurate information about your business and industry
- Respond to our questions within 5 business days (otherwise deadlines may be extended)
- Not submit illegal, defamatory, or harmful content requests
- Not plagiarize or violate third-party copyrights in your feedback or requests
11. Confidentiality
We treat your business information as confidential. We will not share your data, strategies, or unpublished content with third parties (except as needed to deliver services, e.g., PayPal for payments).
NDAs are available upon request for an additional fee.
12. Force Majeure
We are not liable for delays or failures caused by events outside our reasonable control, including but not limited to natural disasters, internet outages, platform failures, or government actions.
13. Changes to These Terms
We may update these Terms at any time. Changes take effect immediately upon posting. Your continued use of our website or services constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of Ontario, Canada. Any disputes shall be resolved in the courts of Toronto, Ontario.
